Terms of Service

These terms govern your use of withupshift.com. They are deliberately short. Consulting engagements are governed by a separate signed agreement, and where that agreement and these terms disagree, the agreement wins.

1. Who these terms are with

The site is operated by Upshift ("we", "us"). By using the site you agree to these terms. If you do not agree, please do not use the site.

2. What the site is

This site describes our consulting services and lets you request an introductory call. It is informational. Nothing here is an offer to enter a contract, and submitting a booking does not create one — a working relationship begins only when both parties sign an engagement agreement.

3. Not professional advice

Content on this site is general information about AI strategy, evaluation and deployment practice. It is not legal, financial, security, compliance or regulatory advice, and it does not account for your specific circumstances. Do not act on it without appropriate professional guidance. Any outcome, metric or case description on this site reflects a particular engagement and is not a prediction or guarantee of results for anyone else.

4. Booking a call

When you book, give accurate information and use an address you are entitled to use. Bookings are handled by Cal.com and are subject to their terms as well as these. We may decline, reschedule or cancel a booking at our discretion — including where the enquiry is outside what we do, in which case we will normally say so and point you somewhere more useful.

5. Acceptable use

You agree not to:

  • use the site unlawfully, or to harass, defraud or impersonate anyone;
  • attempt to gain unauthorised access to the site or its infrastructure, or probe or test its security without our written permission;
  • interfere with the site's operation, including through automated overloading;
  • scrape or bulk-collect content from the site for commercial purposes without our written permission.

6. Intellectual property

The site's content, design, copy and code are owned by us or our licensors and protected by intellectual property law. You may view and share the site and quote reasonable extracts with attribution. You may not copy the site wholesale, or reproduce our materials as your own. Third-party names and logos shown on this site are the property of their respective owners and appear to describe work we have done; their appearance is not a claim of endorsement or partnership.

7. Third-party links and services

The site links to and loads resources from third parties, including Cal.com and Google Fonts. We do not control those services and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

8. Availability

We provide the site "as is" and "as available". We do not promise it will be uninterrupted or error-free, and we may change, suspend or discontinue any part of it at any time without notice.

9. Disclaimers and limitation of liability

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising out of your use of this site. Our total liability arising from your use of the site is limited to one hundred US dollars (US$100). Nothing here limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence. Liability arising from a consulting engagement is governed by that engagement's agreement, not by this clause.

10. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your misuse of the site or your breach of these terms.

11. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

12. Changes

We may update these terms. The date at the top of this page shows when they last changed, and continuing to use the site after a change means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws rules. The courts located in New York shall have exclusive jurisdiction over any dispute arising from them.
